1. Who we are

Steerframe is based in Belfast, Northern Ireland.

Steerframe provides practical AI enablement, workflow diagnostics, AI governance, automation, and training services for SMEs.

Steerframe works with SMEs across Northern Ireland, with selected work across Great Britain, the Republic of Ireland, the wider UK, and the EU where appropriate.

2. Geographic scope and governing law

These Terms are governed by the laws of Northern Ireland unless a separate written agreement says otherwise.

The courts of Northern Ireland have jurisdiction over disputes relating to these Terms, unless a separate written agreement states otherwise.

Steerframe may work with clients across Northern Ireland, Great Britain, the Republic of Ireland, the wider UK, and selected EU contexts.

Clients based outside Northern Ireland remain responsible for understanding and meeting any local legal, regulatory, tax, data protection, employment, industry, or compliance obligations that apply to them.

Where a project involves the Republic of Ireland, the EU, EU personal data, or AI systems used in the EU, additional terms may be needed before work begins.

Nothing in these Terms excludes rights or obligations that cannot legally be excluded.

3. Website use

You may use this website for lawful business and informational purposes only.

You must not:

  • misuse the website or attempt to gain unauthorised access to any system
  • interfere with website security or performance
  • submit false, misleading, harmful, or unlawful information
  • copy, scrape, or reuse website content in a way that infringes our rights
  • transmit malware, spam, phishing, harmful code, or unlawful material through the website

We may restrict access to the website if we believe it is being misused.

4. Website content

The website provides general business information about AI use, workflow improvement, automation, governance, training, and related topics.

It is not legal, data protection, regulatory, financial, tax, HR, employment, compliance, or professional advice.

You should take appropriate professional advice before making legal, compliance, financial, regulatory, HR, or high-risk decisions based on anything on this website.

We aim to keep website content accurate, but we do not guarantee that all content is complete, current, or suitable for your specific circumstances.

5. Free guides and resources

Steerframe may provide free guides, downloads, templates, checklists, or other resources.

These are provided for practical business guidance only. They are not legal, data protection, regulatory, financial, HR, employment, compliance, or professional advice.

You are responsible for reviewing and adapting any resource before using it in your business.

Free resources do not create a client relationship and do not replace a paid diagnostic, governance review, training session, or professional advice.

We may update, remove, or restrict access to free resources at any time.

6. Enquiries and calls

Submitting a form, booking a call, downloading a guide, or contacting Steerframe does not guarantee that we will provide services.

We may decline enquiries where the work is outside our scope, unsuitable, not commercially viable, or does not align with our services.

A client relationship only begins once both parties have agreed to proceed under a proposal, statement of work, invoice, contract, or confirmed written scope.

7. Paid services

Steerframe services may include:

  • Practical AI Team Workshop
  • workflow support and maintenance
  • training
  • implementation support
  • related advisory, documentation, automation, or enablement work

The scope, deliverables, fees, timelines, assumptions, responsibilities, and exclusions for any paid work should be set out in a proposal, statement of work, invoice, or separate written agreement.

These website Terms cover general website use, guide downloads, and enquiries. They do not replace a proper client agreement, proposal, or statement of work for paid work. Where there is a conflict between these Terms and a signed client agreement, the signed client agreement takes priority for that project.

8. Pricing

Prices shown on the website are starting prices or guide prices unless stated otherwise.

Final pricing depends on factors including scope, complexity, preparation required, team size, tools involved, integrations, delivery format, support needs, and level of customisation.

We may update pricing, service descriptions, and availability at any time.

A quote or proposal is valid for the period stated in it. If no period is stated, it is valid for 14 days.

9. Client responsibilities

If you engage Steerframe, you are responsible for:

  • providing accurate and timely information
  • making relevant people available for discovery, review, testing, or delivery
  • ensuring you have permission to share any information, documents, systems, or data provided to us
  • identifying confidential, sensitive, regulated, or high-risk information before sharing it
  • reviewing and approving outputs, deliverables, drafts, automations, workflows, policies, and recommendations before relying on them
  • making final business, legal, compliance, financial, HR, operational, customer-impacting, or regulatory decisions
  • maintaining your own backups, records, system access controls, and security procedures
  • ensuring your staff follow appropriate internal rules for AI and automation use

You should not share passwords, API keys, private credentials, or sensitive data unless an agreed secure process is in place.

10. AI acceptable use

Steerframe works with AI tools, automation tools, and workflow systems. These must be used responsibly.

You must not use Steerframe services, materials, outputs, workflows, automations, guides, prompts, or recommendations to:

  • break the law or encourage unlawful activity
  • mislead, defraud, impersonate, harass, exploit, or harm another person
  • create or distribute malware, phishing, spam, credential theft, or other harmful technical activity
  • bypass security controls, access systems without permission, or misuse APIs
  • process or expose personal data without a lawful basis
  • upload passwords, API keys, private credentials, payment details, or secret access tokens into AI tools
  • place sensitive client, staff, financial, health, legal, HR, regulated, or confidential information into unapproved AI tools
  • use AI as the sole decision-maker for HR, legal, financial, eligibility, safety-critical, rights-impacting, or high-risk decisions
  • rely on AI output without appropriate human review where it may affect customers, staff, suppliers, legal rights, money, safety, reputation, or business-critical work
  • infringe intellectual property rights, confidentiality obligations, privacy rights, contract terms, or third-party rights
  • create deceptive content, fake endorsements, fake reviews, fake evidence, or misleading representations
  • use Steerframe materials to build or deliver a directly competing service without permission

Steerframe may refuse, pause, or terminate work where a requested use appears unlawful, unsafe, unethical, misleading, outside scope, commercially inappropriate, or inconsistent with responsible use.

11. Client AI governance responsibilities

Steerframe may provide practical guidance, training, governance reviews, policies, registers, and recommendations.

Unless expressly agreed otherwise in writing, the client remains responsible for:

  • deciding which AI tools are approved for internal use
  • setting rules for staff use of AI
  • reviewing AI outputs before they are used or sent externally
  • approving any automation connected to live business systems
  • deciding who owns AI use, review, approval, escalation, and monitoring internally
  • ensuring compliance with applicable data protection, employment, equality, consumer, contract, industry, and regulatory obligations
  • training staff appropriately where required

Steerframe is not a law firm, data protection officer, compliance officer, HR adviser, financial adviser, or regulator.

12. EU AI Act and AI literacy

Where a client operates in the EU, offers services into the EU, uses AI in the EU, or has staff, customers, or users in the EU, the EU AI Act and related rules may apply.

Steerframe may provide practical AI training, governance support, workflow review, and responsible AI guidance.

Clients remain responsible for determining whether the EU AI Act applies to them and for meeting any applicable obligations. Steerframe services do not replace legal or regulatory advice on the EU AI Act.

13. AI and automation limitations

AI outputs may be incomplete, inaccurate, outdated, biased, misleading, or unsuitable for your specific circumstances.

Automations may fail, require maintenance, or be affected by changes to third-party tools, APIs, permissions, account settings, data structures, or service availability.

You are responsible for reviewing and approving outputs before relying on them, sending them to customers, using them in decisions, or connecting them to live business processes.

Steerframe does not guarantee specific commercial outcomes, savings, revenue gains, productivity improvements, risk reductions, or compliance outcomes from the use of AI or automation unless expressly agreed in writing.

14. Human review and decision-making

Unless expressly agreed otherwise in writing, Steerframe does not make final business, legal, HR, financial, eligibility, safety, regulatory, customer-impacting, or rights-impacting decisions on your behalf.

You remain responsible for human review, approval, and oversight of AI-assisted outputs, workflow changes, automations, policies, recommendations, and training materials.

15. Third-party tools

Steerframe may work with, configure, recommend, or discuss third-party tools such as AI platforms, automation tools, CRM systems, form tools, email platforms, cloud services, or other software.

Third-party tools are controlled by their own providers and have their own terms, pricing, data practices, and availability.

You are responsible for deciding whether a third-party tool is suitable for your business.

Steerframe is not responsible for third-party service outages, price changes, API changes, model behaviour, data loss, account restrictions, security incidents, or provider decisions outside our control.

16. Data processing and client systems

Some projects may involve access to client systems, documents, databases, workflow tools, CRM records, or other business information.

Unless otherwise agreed in writing:

  • you must ensure Steerframe has permission to access any systems, data, or documents you provide
  • you should provide the minimum access needed for the work
  • passwords, API keys, credentials, or administrator access should not be shared through insecure channels
  • access should be removed when the project ends or is no longer needed
  • you remain responsible for maintaining backups, permissions, account ownership, system security, and access controls
  • Steerframe is not responsible for pre-existing system issues, poor data quality, missing backups, third-party platform changes, or unsupported configurations

Where Steerframe processes personal data on behalf of a client, a separate data processing agreement may be required before work begins.

17. Training and workshops

Steerframe training and workshops provide practical business guidance, examples, frameworks, and discussion.

Training does not guarantee that a client, participant, or organisation will comply with any law, regulation, standard, policy, or internal requirement. Participants remain responsible for applying training appropriately inside their own role and organisation.

Clients are responsible for deciding which staff attend, what internal rules apply, what tools are approved, and whether additional legal, data protection, HR, compliance, or regulatory review is needed.

Workshop materials are for the client's internal business use only unless agreed otherwise. They may not be resold, republished, adapted for commercial training, or used to deliver competing services.

18. Workflow support and maintenance

Support, monitoring, fixes, maintenance, and optimisation are only included where expressly stated in the relevant service scope. Further work may be quoted separately.

Unless expressly agreed otherwise, support does not include:

  • major rebuilds or new workflows
  • new integrations or third-party platform migration
  • out-of-hours support or emergency incident response
  • legal or compliance review
  • unsupported third-party tool issues
  • client-side system administration
  • correction of problems caused by unauthorised client changes

19. Intellectual property

Unless otherwise agreed in writing, Steerframe owns or retains all rights in its pre-existing materials, methods, frameworks, templates, prompts, training content, documents, processes, website content, and know-how.

You may not copy, reproduce, distribute, resell, or adapt Steerframe materials without permission.

Where paid services include client-specific deliverables, usage rights will be set out in the relevant proposal, statement of work, invoice, or agreement. Unless otherwise agreed, you may use final paid deliverables internally for your own business purposes after full payment.

You retain ownership of materials, data, and documents you provide to Steerframe. You grant Steerframe the right to use those materials as needed to deliver the agreed services.

20. Confidentiality

Each party should treat confidential business information received from the other with reasonable care.

Confidential information should not be shared with third parties except where required to deliver services, required by law, authorised by the other party, already public through no fault of the receiving party, or shared with professional advisers or collaborators under appropriate obligations.

Project-specific confidentiality terms may be set out in a separate agreement.

21. Subcontractors and collaborators

Steerframe may use subcontractors, technical collaborators, or specialist providers where appropriate to support delivery.

Access to project information is limited to what is needed for the relevant work and, where appropriate, subject to confidentiality or data protection obligations.

22. Payment terms

Payment terms will be set out in the relevant proposal, invoice, statement of work, or agreement.

Unless otherwise agreed in writing:

  • fees are payable in GBP
  • invoices are payable within the period stated
  • work may be paused if invoices are overdue
  • deposits, workshops, diagnostics, and reserved delivery dates may be non-refundable once work has started or time has been reserved
  • recurring support or live workflow fees are billed as agreed

23. Cancellations and rescheduling

Please give as much notice as possible if you need to cancel or reschedule a workshop, call, or delivery session.

Steerframe may charge for late cancellations where time has been reserved and cannot reasonably be reallocated. Completed work, preparation time, discovery work, and delivered materials remain chargeable.

Steerframe may reschedule where illness, travel disruption, technical issues, emergencies, or circumstances outside reasonable control affect delivery.

24. Results and outcomes

Steerframe aims to provide practical and commercially sensible support.

Results depend on factors outside our control, including your internal processes, tools, team adoption, data quality, decision-making, availability, third-party platforms, and technical constraints.

We do not guarantee specific commercial outcomes, revenue increases, cost savings, productivity gains, lead conversion improvements, compliance outcomes, or risk reductions unless expressly agreed in writing.

25. Limitation of liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so.

To the fullest extent permitted by law, Steerframe will not be liable for:

  • indirect or consequential loss
  • loss of profit, revenue, business opportunity, or goodwill
  • loss of expected savings
  • loss of data where you were responsible for backups, controls, or access management
  • issues caused by third-party tools, platforms, APIs, or providers outside our control
  • decisions you made based on AI outputs, guides, templates, or recommendations without appropriate review
  • problems caused by inaccurate, incomplete, or misleading information you provided
  • failure to achieve a specific business, compliance, financial, or operational outcome unless expressly agreed in writing

Where liability cannot be excluded, Steerframe's total liability is limited to the fees paid for the specific service giving rise to the claim, unless a different limit is agreed in writing.

26. Indemnity

You agree to indemnify Steerframe against reasonable losses, claims, damages, costs, and expenses arising from:

  • your unlawful use of the website, services, deliverables, AI outputs, automations, or materials
  • information or materials you provide that infringe third-party rights or breach confidentiality obligations
  • your misuse of AI tools, automations, or deliverables
  • your failure to review, approve, supervise, or control AI outputs or automations
  • your breach of these Terms or any applicable project terms

This clause applies only to the extent permitted by law.

27. Force majeure

Steerframe will not be responsible for delay or failure to perform where caused by events outside reasonable control.

This includes illness, power or internet outage, cyber incidents, third-party platform outages, API changes, hosting issues, industrial action, extreme weather, travel disruption, government action, legal restrictions, or other events beyond reasonable control.

We may update these Terms from time to time. The latest version will be published on this page with the updated date shown above.

Continued use of the website after changes are published means you accept the updated Terms.
